はじめに / Overview
本ページは、DBTPartnersStudio（運営: DekoBokoTech合同会社）で販売するデジタル商品の共通ライセンス（使用許諾条件）を定めるものです。
本ライセンスは、当社の利用規約とあわせて適用されます。

重要
商品に同梱される LICENSE、または商品ページに個別のライセンス条項が記載されている場合、当該商品の使用条件はそれらが優先します。
ただし、本ページの内容がより厳格であり、かつ商品別ライセンスと合理的に両立する範囲では、本ページの条件が追加的に適用されます。

第1条 定義
1 商品
DBTPartnersStudioで提供されるデジタルコンテンツ一式を指します。テンプレート、プロジェクトファイル、素材、設定ファイル、ドキュメント、プレビュー画像等を含みます。
2 購入者
DBTPartnersStudioで商品を購入した個人または法人を指します。
3 関係者
購入者の従業員、役員、業務委託先、制作パートナー、外注先等、購入者の業務のために商品を取り扱う者を指します。
4 ソースファイル
編集・再利用が可能な状態のファイルやプロジェクトを指します。例として、テンプレート本体、プロジェクトデータ、編集用データ、レイヤー構造を保持するデータ等が含まれます。

第2条 使用許諾
1 当社は、購入者に対し、購入者自身の業務または組織内利用のために、商品を非独占的に使用する権利を許諾します。
2 本許諾は譲渡不可であり、第三者への再許諾はできません（商品別ライセンスで明示的に許可される場合を除きます）。
3 商品の利用には、利用規約および本ページの条件の遵守が必要です。

第3条 再配布禁止（厳格）
商品別ライセンスで明示的に許可される場合を除き、購入者および関係者は、以下を行ってはなりません。
1 ソースファイル、テンプレート、素材、プロジェクト等（その一部を含む）を、いかなる形式でも第三者に提供、共有、送信、公開、アップロードする行為（有償無償を問わず）
2 ダウンロードリンク、ファイル、アカウント、アクセス権、購入情報等を共有し、第三者が取得・複製できる状態にする行為
3 商品または派生物を、単体商品、素材集、テンプレートパック等として再販売または再配布する行為
4 第三者が恒久的に保有・利用できる形で、商品または派生物を納品、譲渡、再許諾する行為
5 必要最小限を超えて、第三者の環境やストレージに複製・常置する行為
6 権利表示、ライセンス表示、メタデータ等を削除・改変する行為
7 リバースエンジニアリング等、当社または権利者の権利を侵害する一切の行為

第4条 関係者の取り扱い
1 関係者に商品を取り扱わせる場合、購入者の業務のために必要な最小限の範囲に限定してください。
2 関係者は、自己のために使用してはならず、商品を自己の資産として恒久的に保有できません。
3 購入者は、関係者による本ライセンス違反についても責任を負います。

第5条 削除義務（返却義務に相当）
1 次の場合、購入者および関係者は、商品、複製物、派生物、バックアップを含む一切のデータを、合理的な範囲で速やかに削除またはアクセス不能化しなければなりません。
(1) 関係者との業務委託、制作協力、運用支援等が終了した場合、または当該業務が完了した場合
(2) 当社または権利者が、権利侵害または契約違反の合理的疑いに基づき削除を要請した場合
(3) 購入者が本ライセンスまたは利用規約に重大に違反し、当社が是正を求めたにもかかわらず合理期間内に是正されない場合
2 削除対象には、PC、サーバー、NAS、クラウドストレージ、共有フォルダ、バージョン管理、バックアップ媒体、メール添付等に存在する複製を含みます。

第6条 削除確認
当社が合理的に必要と判断した場合、購入者は削除またはアクセス不能化の完了を、書面（メールを含みます）で当社に確認できる形で提供するものとします。

第7条 権利帰属
商品および関連コンテンツに関する著作権その他一切の知的財産権は、当社または正当な権利者に帰属します。本ライセンスは、明示された範囲を超える権利を購入者に付与しません。

第7条の2 第三者商標
1 本ストア上で言及される第三者の商標、サービスマーク、商号等は、各権利者に帰属します。
2 Ross Video および XPression は Ross Video Limited の商標または登録商標です。
3 DBTPartnersStudio（DBTPS）は Ross Video Limited と提携・承認・支援関係にありません。

第8条 免責
当社は、適用法令で許される最大限の範囲において、商品を現状有姿で提供し、商品性、特定目的適合性、互換性、無停止稼働、無瑕疵等について、明示黙示を問わず保証しません。

第9条 期限と終了
1 本ライセンスは、購入者が本ライセンスおよび利用規約を遵守している限り有効です。
2 購入者が重大な違反を行った場合、当社は本ライセンスに基づく使用許諾を停止または終了でき、購入者は直ちに使用を停止し、第5条の削除義務を履行するものとします。

第10条 差止め等
本ライセンス違反は当社に回復困難な損害を生じさせるおそれがあります。当社は損害賠償に加え、差止め等の救済を求めることができます。

第11条 準拠法および管轄
本ライセンスは日本法に準拠し、利用規約に定める裁判管轄に従います。

1 Definitions
1 Product
All digital content provided on DBTPartnersStudio, including templates, project files, assets, configuration files, documentation, and preview images.
2 Customer
The individual or entity that purchased the Product.
3 Related Parties
Customer’s employees, officers, contractors, vendors, or production partners who handle the Product solely for work performed for the Customer.
4 Source Files
Editable files or projects, including template masters, project data, editable assets, and any files that preserve structure for modification.

2 License Grant
1 We grant the Customer a non-exclusive right to use the Product for the Customer’s own business or internal use.
2 This license is non-transferable and may not be sublicensed to any third party, unless expressly permitted by a product-specific license.
3 Use of the Product requires compliance with these License Terms and our Terms of Service.

Priority Notice
If a Product includes its own LICENSE file or product-page license terms, those terms control for that Product. Stricter terms on this page apply only to the extent they can reasonably coexist with the product-specific license.

3 Strict No-Redistribution
Unless expressly permitted by a product-specific license, the Customer and Related Parties must not:
1 Provide, share, transmit, publish, upload, or otherwise make available any source files, templates, assets, projects, or any portion to any third party, whether free or paid
2 Share download links, files, accounts, access credentials, or purchase information in a way that enables third parties to obtain or copy the Product
3 Resell or redistribute the Product or derivatives as standalone products, asset packs, or template packs
4 Deliver, transfer, or sublicense in a way that allows third parties to retain permanent possession or ongoing independent use
5 Keep copies in third-party environments or storage beyond the minimum necessary for work performed for the Customer
6 Remove or alter copyright notices, license notices, or metadata
7 Engage in reverse engineering or any act that infringes intellectual property rights

4 Related Parties
1 Related Parties may handle the Product only to the minimum extent necessary for work performed for the Customer.
2 Related Parties must not use the Product for their own benefit and must not retain the Product as their own asset.
3 The Customer remains responsible for any breach by Related Parties.

5 Deletion Obligation
1 The Customer and Related Parties must promptly delete or make inaccessible all copies of the Product, including derivatives and backups, when:
(1) The engagement with a Related Party ends or the relevant work is completed
(2) We or the rights holder reasonably request deletion due to suspected infringement or breach
(3) The Customer materially breaches these terms or the Terms of Service and fails to cure within a reasonable period after notice
2 This includes copies on PCs, servers, NAS, cloud storage, shared folders, version control systems, backup media, and email attachments.

6 Deletion Confirmation
If reasonably necessary, the Customer must provide written confirmation (including by email) that deletion or access removal has been completed.

7 Ownership
All intellectual property in the Product and related content belongs to us or the relevant rights holders. This license grants no rights beyond those expressly stated.

7A Third-Party Trademarks
1 All third-party trademarks, service marks, and trade names referenced on this store belong to their respective owners.
2 Ross Video and XPression are trademarks or registered trademarks of Ross Video Limited.
3 DBTPartnersStudio (DBTPS) is not affiliated with, endorsed by, or sponsored by Ross Video Limited.

8 Disclaimer
To the fullest extent permitted by law, the Product is provided “as is” and “as available,” without warranties of any kind, including merchantability, fitness for a particular purpose, compatibility, uninterrupted operation, or absence of defects.

9 Term and Termination
1 This license remains effective as long as the Customer complies with these terms and the Terms of Service.
2 In case of a material breach, we may suspend or terminate the license. Upon termination, the Customer must stop using the Product and fulfill the deletion obligation in Section 5.

10 Injunctive Relief
A breach may cause irreparable harm. We may seek injunctive relief and other remedies in addition to damages.

11 Governing Law and Jurisdiction
This license is governed by the laws of Japan and follows the jurisdiction clause in the Terms of Service.
